These TERMS OF SERVICE (the “Terms”) are entered into by and between you and Richmond Doulas LLC, a Virginia limited liability company doing business as “RoseMoon Birth Services” (“RM”, “we”, or “us”), and govern your access to and use of www.rosemoonbirthservicesllc.com (the “Website”), including all content and functionality on it.

Please read these Terms carefully before using the Website. By using the Website, or by clicking to accept these Terms when that option is made available, you agree to be bound by these Terms and our Privacy Policy (also found at www.rosemoonbirthservicesllc.com), incorporated herein by reference. The Website is available only to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using the Website, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not agree to these Terms or the Privacy Policy, or do not meet the eligibility requirements, you must not access or use the Website.

1.  Changes to the Terms of Use. We may revise these Terms of Use at any time in our sole discretion. All changes are effective immediately upon posting and apply to all subsequent access to and use of the Website. 3.  Trademarks. The RM logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RM or its affiliates or licensors. You may not use any such marks without the prior written permission of RM. All other names, logos, product and service names, designs, and slogans appearing on the Website are the trademarks of their respective owners.

4.  Prohibited Uses. You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website: (a) in any way that violates any applicable federal, state, local, or international law or regulation, including any laws regarding the export of data or software; (b) to exploit, harm, or attempt to exploit or harm minors in any way, including by exposing them to inappropriate content or soliciting personally identifiable information; (c) to send, upload, download, or use any material that does not comply with these Terms; (d) to transmit any unsolicited advertising or promotional material, including junk mail, chain letters, spam, or similar solicitations, without our prior written consent; (e) to impersonate or attempt to impersonate RM, any RM employee, another user, or any other person or entity, including by using email addresses or screen names associated with any of the foregoing; (f) to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or that may harm RM or its users or expose them to liability; (g) to use the Website in any manner that could disable, overburden, damage, or impair it, or interfere with any other party’s use; (h) to use any robot, spider, or other automated device or process to access, monitor, or copy any material on the Website; (i) to use any device, software, or routine that interferes with the proper working of the Website; (j) to introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material; (k) to attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the servers on which it is stored, or any connected server, computer, or database; (l) to attack the Website via a denial-of-service or distributed denial-of-service attack; or (m) to otherwise attempt to interfere with the proper working of the Website.

RM DOES NOT WARRANT THAT THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR ITS SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS. YOU ARE RESPONSIBLE FOR MAINTAINING ADEQUATE ANTI-VIRUS PROTECTIONS AND FOR BACKING UP YOUR OWN DATA. YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. You agree to defend, indemnify, and hold harmless RM and its affiliates, officers, directors, employees, agents, and successors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Website or your violation of these Terms.

12. Governing Law and Jurisdiction. These Terms and any dispute arising out of or related to them shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Richmond, Virginia, and you consent to personal jurisdiction and venue in such courts.

13. Waiver. No failure or delay by RM in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No waiver by RM of any breach or default of these Terms shall be deemed a waiver of any subsequent breach or default, and shall not affect the other terms of these Terms. A waiver is only effective if it is in writing and signed by RM.

14. Severability. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect.
